Introduction

Welcome to NavGeo Services (“NavGeo,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website at navgeos.com, including all sub-pages, content, applications, and services (collectively, the “Site”). By visiting the Site, creating an account, or purchasing any service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Site.

Definitions

“Client” or “User” refers to any person or entity that browses, registers, submits content, requests a quotation, or purchases services.

“Services” means any GIS consulting, spatial data processing, map production, or related deliverables offered by NavGeo.

“Content” includes text, graphics, data, code, and all other material published on the Site.

“Deliverables” are project outputs we supply to you (e.g., geodatabases, maps, reports).

“Agreement” collectively refers to these Terms, the Privacy Policy, and any project-specific proposal, quotation, statement of work, or service-level agreement (“SOW”).

Eligibility & Access

To use the Site, you must be at least 18 years old or the legal age of majority in your jurisdiction and able to enter legally binding contracts. You are responsible for ensuring that your use is lawful in the territory from which you access the Site.

Changes to These Terms

We may update or revise these Terms at any time. Material changes will be announced via notice on the Site or by email to registered users. Continued use of the Site after the revised Terms become effective constitutes acceptance.

Description of Services

NavGeo provides a range of geographic information system (GIS) solutions, including data collection, spatial analysis, cartographic design, web mapping, and advisory services. Project scope, pricing, and delivery timelines are defined in the applicable SOW.

Account Registration & Security

  • You may browse public pages without creating an account. Certain features (e.g., project dashboards, file uploads) require registration.
  • You must provide accurate, current information and keep it updated.
  • You are responsible for safeguarding login credentials and for all activity under your account.
  • Notify us immediately of any unauthorized access or security breach.

User Responsibilities & Acceptable Use

  • Provide clear project requirements, deadlines, and reference materials where applicable.
  • Supply or confirm that you have lawful rights to any data you send to us.
  • Use the Site only for lawful purposes and in accordance with these Terms.
  • You must not: (a) upload malware; (b) reverse-engineer our software; (c) scrape or harvest data; (d) infringe copyrights, trademarks, or other rights; (e) misrepresent your identity or project scope.

Fees, Invoices & Payment

  • Prices in proposals are quoted in U.S. dollars (USD) unless otherwise stated. Taxes, bank charges, and currency-conversion fees are the client’s responsibility.
  • Payment terms (e.g., advance, milestone, net 30) are outlined in the SOW. Late payments may incur 1.5 % interest per month (or the maximum rate permitted by law).
  • We may suspend or withhold Deliverables pending full payment.

Intellectual Property

  • All proprietary code, workflows, templates, and methodologies developed by NavGeo remain our exclusive property.
  • Upon final payment, you receive a non-exclusive, worldwide license to use the specific Deliverables created for you, solely for the purposes described in the SOW.
  • You grant NavGeo a limited right to reference anonymized project details in our portfolio unless you opt out in writing.

Third-Party Links & Content

The Site may reference or link to external resources. NavGeo does not control third-party sites and is not responsible for their content or practices. Access them at your own risk.

Confidentiality & Data Protection

  • Both parties agree to keep each other’s confidential information secure and not disclose it to third parties except as required to deliver the Services or by law.
  • We process personal data in accordance with our Privacy Policy and applicable data-protection laws, including the UAE Federal Decree-Law 45 of 2021 and, where relevant, the EU GDPR.

Disclaimer of Warranties

The Site and Services are provided “as is” and “as available.” To the fullest extent permitted by law, NavGeo disclaims all warranties—express, implied, statutory, or otherwise—including warranties of accuracy, merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and freedom from errors or harmful components.

Limitation of Liability

To the maximum extent permitted by law, NavGeo, its directors, employees, and contractors will not be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or goodwill) arising out of or relating to the Site or Services, even if advised of the possibility. Our aggregate liability in any 12-month period is limited to the fees you paid to NavGeo for the specific project giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless NavGeo and our affiliates from any claims, damages, or expenses (including attorneys’ fees) arising from your: (a) breach of these Terms; (b) misuse of the Site or Services; (c) violation of any law or third-party right; or (d) data or content you supply to us.

Suspension & Termination

  • We may suspend or terminate your account and access to the Site immediately, with or without notice, if you breach these Terms.
  • Either party may terminate a project SOW for material breach that remains uncured after 15 days’ written notice.
  • Sections that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability, indemnification) will continue in force.

Force Majeure

NavGeo is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, acts of government, war, terrorism, civil unrest, labor disputes, or disruptions of telecommunications or power.

Governing Law & Jurisdiction

These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute not resolved amicably within 30 days shall be submitted to the exclusive jurisdiction of the Dubai Courts.

Dispute Resolution (Optional Mediation)

Before initiating court proceedings, the parties agree to attempt in good faith to resolve disputes via mediation at the Dubai International Arbitration Centre (DIAC). Participation in mediation is voluntary and does not affect either party’s right to pursue legal remedies.

Severability

If any provision of these Terms is found unenforceable, the remainder will remain in full force, and an enforceable term will be substituted to reflect the original intent as closely as possible.

Entire Agreement

These Terms, together with the Privacy Policy and any SOW, constitute the entire agreement between you and NavGeo regarding the Site and Services, superseding all prior agreements, proposals, or communications.

Waiver

No failure or delay by NavGeo in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. NavGeo may assign its rights and obligations to an affiliate or successor in connection with a merger, acquisition, or sale of assets.
