These Terms of Service govern the use of the NavGeo Services website and the general basis on which NavGeo Services may provide professional GIS services. By using this website or engaging NavGeo Services for an agreed assignment, you acknowledge these Terms together with any applicable proposal, quotation, scope of work or other project-specific agreement.

Where a project-specific agreement contains terms that differ from these general Terms, the project-specific agreement will take precedence for that assignment.

1. About NavGeo Services

NavGeo Services provides specialized GIS services for clearly defined spatial-data, mapping and geospatial project requirements.

Services may include GIS mapping and cartography, GIS data digitization, CAD-to-GIS conversion, GIS data QA/QC, georeferencing and coordinate system services, ArcPy scripting and GIS workflow automation, spatial data processing and analysis, topology cleaning and data validation, and geodatabase design and management.

2. Project Scope and Agreements

GIS services are provided according to an agreed scope of work. The scope may be established through a proposal, quotation, written project description, scope of work, email confirmation or other agreed project documentation.

The agreed scope may identify the required activities, client inputs, assumptions, methods, deliverables, schedule, limitations and commercial terms applicable to the assignment.

NavGeo Services is responsible only for work included within the agreed GIS scope. Activities outside that scope require separate agreement.

3. Client Responsibilities

The client is responsible for providing the information and materials reasonably required for the agreed assignment.

Client responsibilities may include:

• Providing suitable source datasets, files and project information.
• Identifying the intended purpose and expected use of the deliverables.
• Providing known coordinate systems, standards or specifications where relevant.
• Confirming required output formats and delivery requirements.
• Reviewing submitted information and providing timely clarification where necessary.
• Ensuring that the client has the necessary rights to provide materials supplied to NavGeo Services.

Delays, incomplete information or changes in client-provided requirements may affect the agreed workflow, schedule or deliverables.

4. Client-Provided Data and Materials

NavGeo Services may rely on GIS datasets, CAD drawings, spreadsheets, documents, maps or other materials supplied by the client or obtained from agreed data sources.

Unless otherwise agreed, NavGeo Services is not responsible for errors, omissions, inaccuracies or limitations already present in source materials. Where such issues are identified during the agreed work, they may be communicated to the client and addressed where correction falls within the project scope.

Client-provided materials remain subject to any ownership, confidentiality or usage rights applicable to those materials.

5. Fees, Payment and Delivery

Project fees, payment arrangements, delivery dates and any required advance or milestone payments will be stated in the applicable proposal, quotation or other project agreement.

Delivery schedules are based on the agreed scope, availability of required client inputs and reasonable project assumptions at the time the assignment is accepted.

NavGeo Services may withhold final deliverables where agreed payments remain outstanding, subject to the applicable project agreement.

6. Changes to Scope

A request that changes the agreed inputs, methodology, processing requirements, deliverables, schedule or volume of work may constitute a change in scope.

Where a material change is identified, NavGeo Services may provide a revised scope, schedule or commercial proposal before undertaking the additional work.

7. Intellectual Property and Deliverables

Ownership and permitted use of project-specific deliverables will be governed by the applicable proposal, scope of work or other project agreement.

Unless otherwise agreed, NavGeo Services retains ownership of its pre-existing methods, templates, reusable workflows, general technical knowledge, scripts, processes and other materials developed independently of a specific client assignment.

Client-provided data and materials remain the property of the client or applicable rights holder.

Nothing in these Terms automatically grants NavGeo Services permission to publish, display or use confidential client project information as a portfolio item or public showcase. Such use requires appropriate permission or another valid basis agreed with the client.

8. Confidentiality and Project Information

NavGeo Services will treat non-public project information provided for an assignment with reasonable care and will use it for the agreed project purpose.

Where additional confidentiality requirements apply, they may be established through the proposal, scope of work, confidentiality agreement or other project documentation.

Confidentiality obligations do not apply to information that is already publicly available, lawfully obtained from another source, independently developed without use of the confidential information, or required to be disclosed by applicable law.

9. Accuracy, Validation and GIS Limitations

GIS results depend on the quality, completeness, spatial accuracy, coordinate reference system, scale and suitability of the source information used in the assignment.

NavGeo Services applies the processing, validation and QA/QC activities included within the agreed scope. However, no GIS dataset, analysis or map should be assumed to be free from all possible errors or limitations.

Analytical outputs may also depend on defined assumptions, classifications, thresholds, processing rules or available geographic information. These should be considered when interpreting or applying the results.

Unless expressly included in the agreed scope, NavGeo Services does not provide legal surveying, engineering certification, legal boundary determination, regulatory approval or other specialist professional certification.

10. Third-Party Data, Software and Resources

An assignment may use third-party datasets, software, basemaps, public data sources or other resources subject to their own terms, licences and limitations.

NavGeo Services does not control the accuracy, availability or future availability of third-party resources and is not responsible for changes made by their providers.

Clients remain responsible for complying with applicable third-party licence or usage requirements when using delivered materials that incorporate or depend upon such resources.

11. Website Use

The NavGeo Services website is provided for general information about our GIS capabilities, services and selected technical work.

Website content does not constitute a binding project proposal, professional certification or guarantee that a particular service or methodology is suitable for every assignment.

You may not intentionally interfere with the operation or security of the website, attempt unauthorized access, introduce malicious software or use the website for unlawful purposes.

12. No Guarantee of Specific Outcomes

NavGeo Services will perform agreed GIS work with reasonable professional care within the defined project scope.

Unless expressly stated in a project agreement, NavGeo Services does not guarantee a particular commercial, regulatory, planning, operational or decision-making outcome resulting from the use of GIS deliverables.

13. Limitation of Liability

To the extent permitted by applicable law, NavGeo Services will not be responsible for indirect, incidental, consequential or special losses arising from the use of the website or project deliverables.

NavGeo Services is not responsible for losses resulting from inaccurate or incomplete client-provided information, third-party data limitations, unauthorized modification of deliverables, use outside the agreed purpose or circumstances beyond the agreed project scope.

Any project-specific allocation or limitation of liability may be addressed separately in the applicable proposal, scope of work or other agreement.

14. Project Suspension or Termination

Either party may request suspension or termination of an assignment in accordance with the applicable project agreement or other written arrangement.

Where work is suspended or terminated after commencement, the client may remain responsible for payment for work completed and reasonable commitments already made up to the effective date of suspension or termination.

Where practical, completed or partially completed project materials may be provided subject to applicable payment, confidentiality and usage terms.

15. Force Majeure

NavGeo Services will not be responsible for delay or failure to perform caused by circumstances reasonably beyond its control, including major internet or service-provider failures, natural disasters, governmental restrictions, widespread technical outages or similar events.

Where such circumstances materially affect an assignment, reasonable efforts will be made to communicate the impact and revise the project schedule where appropriate.

16. Applicable Law and Project Agreements

These general website Terms do not establish a specific governing law or jurisdiction for every client assignment.

Where governing law, jurisdiction, dispute resolution or other legal terms are required for a project, they may be defined in the applicable proposal, contract, scope of work or other agreement between the parties.

17. Changes to These Terms

These Terms of Service may be updated when NavGeo Services changes its website, service practices or project arrangements.
